Purchase Dispensations and Minimum Investment Requirements

Investing in Placements Oméga S.E.C. is typically offered to Canadian residents who meet certain eligibility conditions under one of the following prospectus exemption dispensations for investment. The dispensations and their respective minimum initial investment amounts, as per applicable securities laws, are as follows:

• Qualified Investor Placement Dispensation: This dispensation is only available to "qualified investors" as defined in Regulation 45-106 – Prospectus Exemption. The minimum initial purchase amount under this dispensation is $100,000.00 (as determined by the manager). Subsequently, investments in increments of $50,000 are permitted.

• Minimum Amount Dispensation: This dispensation is offered to investors who are not individuals, and the minimum initial purchase amount is $150,000.00.

A limited partner holds one or more units of the limited partnership and entrusts the management of the Limited Partnership to its general partner, Oméga Capital Privé.

Returns

  • Each unit of the limited partnership is $100,000
  • After the initial contribution of $100,000, it is possible to add half-units of $50,000 each
  • It’s always possible to withdraw part or all the capital upon request
  • The limited partner must notify the general partner in writing 6 months before the end of the term if they wish to withdraw one or more units
If a limited partner needs to withdraw one or more units, the following options are available:
  • Wait for the repayment of a loan to the S.E.C, that can cover the amount to be withdrawn
  • Wait for the investment of another limited partner that can cover the amount to be withdrawn

Return of Placements Oméga S.E.C loans. We aim to provide you with the best possible return, but never at the expense of safety and peace of mind.

Management

  • The limited partnership lends to real estate investors at an interest rate of 15% to 18 %
  • 80% of the income from our loans is distributed to our limited partners
  • Our target return is 12 to 13%
  • When a loan is repaid, there may be a short period where the capital does not generate dividends and interest. Dividends and interest will be generated when the capital is lent again for a project
  • Considering the short periods between loans where a portion of the capital does not generate interest, the annual return for limited partners may vary slightly
  • All monthly dividends and interest received, minus the general partner's share, are distributed to each limited partner in proportion to the number of units they hold
  • The monthly payment of dividends and interest is made directly to the bank accounts of the limited partner
  • A significant portion of the income is in the form of dividends, which is more tax-efficient than interest. This ratio may vary depending on the types of loans provided

  • The analysis of loan applications is similar to that conducted by financial institutions (professional appraisals, financial statements, taxes and assessment notices, proof of income, financial analysis of the project, borrower background checks, candidates' experience, etc.)
  • Financial capacity checks are conducted on borrowers to ensure they will be able to meet the monthly interest payments
  • The analysis examines the viability and the level of risk in the anticipated method of capital repayment at the end of the project
  • In case of default, legal procedures will be used to recover the full amount of the loaned capital, the interest due, and legal fees
  • There has never been a default, foreclosure, or interest delay since the creation of Placements Omega SEC limited partnership
Monthly report

A monthly report is shared with all limited partners on the intranet.

The report details :
  • The total dividends and interest received during the month, the distribution among limited partners in proportion to their units, and the share given to the general partner
For each loan:
  • The borrower, property address, loan amount, loan start and maturity dates, as well as the dividends and interest received during the period
For each limited partner :
  • The amounts invested and the percentage of participation in the limited partnership
  • The dividends and interest paid for the period, the cumulative annual interest paid, the return for the period, and the year-to-date return
